WCA Waste Corporation announced it has entered into a partnership with Macquirie Infrastructure Partners II, a leading North American infrastructure investment fund. MIP II will acquire all of the outstanding common stokc of WCA for US$6.50 per share in cash as part of this deal, redeem all Series A preferred stock and either partially or completely refinance WCA's existing credit facilities. The transaction is worth approximately US$526 million.

WCA is a vertically integrated, non-hazardous solid-waste services company operating 25 landfills, 29 transfer stations and 29 collection operations. The company is headquartered in Houston, Texas and serves 450,000 customers across 14 states in the Southeast and Midwest United States. WCA is seeking to enter the next phase of the company's growth strategy and plan and sees the partnership with Macquirie Infrastructure Partners as an important step towards achieving their goals.

In addition, MIP II's chief executive officer, Christopher Leslie, has also stated that this partnership will leverage MIP II's existing industry knowledge and help the company to expand and diversify MIP II's North American portfolio. The transaction is expected to be completed in the first quarter of 2012.
